Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Oasis Auto Konnect LLC ("OAK," "we," "us," or "our") governing your access to and use of our AI-powered CRM platform and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Description of Service

OAK provides an AI-powered customer relationship management platform designed for independent health insurance advisors. The Service includes:

  • Weaver AI conversational intelligence for lead qualification and appointment booking (AI plan only)
  • Automated SMS and messaging capabilities
  • Pipeline management and contact tracking
  • List scrubbing and compliance tools
  • Analytics and reporting features
  • Mobile application access (Standard + Mobile and AI plans)

Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate, complete, and current registration information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account

You may not use another person's account without permission. You must notify us immediately of any unauthorized use of your account.

Fees and Payment

Subscription Plans

Access to the Service requires payment of applicable subscription fees. Current plans include:

  • Standard: $50 per month — Full CRM, pipeline, list scrubber, drip campaigns
  • Standard + Mobile: $100 per month — Everything in Standard plus iPhone app access
  • AI: $600 per month — Everything in Standard + Mobile plus Weaver AI automation

One-Time Setup Fee

A non-refundable $75 setup fee is required at sign-up. This fee covers A2P registration with carriers and your 45-minute onboarding session.

Per-Message Fees

SMS messaging costs approximately $0.012 per segment total, broken down as follows:

  • Message cost: ~$0.009 per segment (charged at time of sending)
  • Carrier fees: ~$0.003 per segment (charged periodically as carriers report them)

Carrier fees vary slightly by carrier (AT&T, Verizon, T-Mobile, etc.) and are passed through at cost with no markup. These fees are consolidated and charged to your wallet balance every few hours as carriers report them, rather than per-message.

Billing

  • Subscription fees are billed monthly in advance beginning on your onboarding call
  • Message usage fees are billed monthly in arrears from your wallet balance
  • All fees are non-refundable except as expressly stated herein
  • We reserve the right to change pricing with 30 days' notice

Plan Changes

You may upgrade or downgrade your plan at any time. Plan changes take effect on your next billing cycle. Your data remains intact regardless of plan changes.

Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Violate any applicable laws or regulations, including TCPA, CAN-SPAM, and state telemarketing laws
  • Send unsolicited messages without proper consent
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for any fraudulent or deceptive purpose
  • Resell or redistribute the Service without authorization
  • Use the Service to harass, abuse, or harm others
  • Violate the intellectual property rights of others

Messaging Compliance

As a user of our messaging features, you acknowledge and agree:

  • You are solely responsible for obtaining proper consent from message recipients in compliance with TCPA and all applicable laws
  • You will maintain records of consent as required by law
  • You will honor all opt-out requests promptly
  • You will not send messages to numbers on the National Do Not Call Registry unless you have an established business relationship or written consent
  • You will comply with our A2P messaging policies and carrier requirements
  • Message content must be truthful and not misleading

Violation of messaging compliance requirements may result in immediate suspension or termination of your account.

Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of all data you upload to the Service. By using the Service, you grant us a limited license to use, process, and store your data solely for the purpose of providing the Service.

You are responsible for the accuracy and legality of the data you upload and for ensuring you have the right to use such data.

Intellectual Property

The Service, including its original content, features, and functionality, is owned by Oasis Auto Konnect LLC and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our written permission. "OAK," "Oasis Auto Konnect," "Weaver AI," and associated logos are trademarks of Oasis Auto Konnect LLC.

Third-Party Services

The Service may integrate with or contain links to third-party services. We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk.

Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice when possible.

Termination

You may cancel your subscription at any time by contacting us. Upon cancellation:

  • Your access will continue until the end of your current billing period
  • No refunds will be provided for partial months
  • Your data will be retained for 30 days, after which it may be deleted

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users or the Service, or is otherwise objectionable.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be error-free, uninterrupted, or secure. We do not guarantee any specific results from use of the Service.

Limitation of Liability

To the maximum extent permitted by law, Oasis Auto Konnect LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Oasis Auto Konnect LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your messaging practices and compliance failures
  • Any data you upload to the Service

Dispute Resolution

Informal Resolution: Before initiating any formal legal proceedings, you agree to first contact us to attempt to resolve any dispute informally. We will work in good faith to resolve the matter within 30 days of receiving your written notice of the dispute.

Binding Arbitration: If we cannot resolve the dispute informally, you and Oasis Auto Konnect LLC agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth below. The arbitration will be conducted in accordance with the American Arbitration Association's rules. Any arbitration will take place on an individual basis; class arbitrations and class actions are not permitted.

Exceptions: Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Service, or intellectual property infringement, without first engaging in arbitration.

Governing Law

Oasis Auto Konnect LLC is registered in the State of Wyoming. These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, or if arbitration is found unenforceable, the parties agree to submit to the personal jurisdiction of the state or federal courts located in Hillsborough County, Florida, where the principals of the business are located.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Oasis Auto Konnect LLC regarding the Service and supersede all prior agreements and understandings.
