These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Oasis Auto Konnect LLC ("Company," "we," "us," or "our") governing your access to and use of our services, including our website, web design services, AI chatbot solutions, messaging services, and any other related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Services Description

Oasis Auto Konnect LLC provides the following services:

• Web Design and Development: Custom website design, development, and maintenance services tailored to your business needs.
• AI Chatbot Solutions: Implementation and integration of artificial intelligence-powered chatbots to enhance customer engagement and support.
• Messaging Services: Business communication solutions including SMS, email, and multi-channel messaging platforms.
• Related Digital Solutions: Additional technology services as mutually agreed upon in writing.

3. Service Agreement and Scope

3.1 Engagement Process

All services are provided based on a mutually agreed scope of work, which will be documented in a separate service agreement, proposal, or statement of work. The specific deliverables, timelines, and pricing will be outlined in such documentation.

3.2 Client Responsibilities

You agree to:

• Provide accurate and complete information necessary for the delivery of Services
• Respond to requests for information, feedback, or approvals in a timely manner
• Provide access to necessary systems, accounts, and resources as required
• Comply with all applicable laws and regulations in your use of our Services
• Maintain the confidentiality of any account credentials or access information provided

3.3 Modifications to Services

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time. We will make reasonable efforts to notify you of any significant changes that may affect your use of the Services.

4. Payment Terms

4.1 Fees and Payment

You agree to pay all fees as specified in your service agreement or proposal. Unless otherwise stated, all fees are in U.S. Dollars and are non-refundable.

4.2 Payment Schedule

Payment terms will be specified in your service agreement. Common payment structures include:

• Upfront payment for full project cost
• Deposit payment with remaining balance due upon completion
• Milestone-based payments throughout the project
• Monthly recurring fees for ongoing services

4.3 Late Payments

Late payments may incur interest charges of 1.5% per month (or the maximum rate permitted by law, whichever is lower). We reserve the right to suspend Services for accounts with overdue balances.

4.4 Additional Services

Any services requested beyond the original scope of work will be subject to additional fees as mutually agreed upon in writing.

5. Intellectual Property Rights

5.1 Client-Provided Materials

You retain all rights to content, materials, trademarks, and other intellectual property you provide to us ("Client Materials"). By providing Client Materials, you grant us a limited, non-exclusive license to use, reproduce, and modify such materials solely for the purpose of providing Services to you.

5.2 Deliverables

Upon full payment of all fees, you will own the final deliverables specifically created for you as part of the Services, excluding any pre-existing materials, third-party components, or our proprietary tools and frameworks.

5.3 Company Property

We retain all rights to:

• Our proprietary tools, frameworks, code libraries, and methodologies
• Pre-existing materials and templates
• General knowledge and techniques developed during the provision of Services

5.4 Third-Party Components

Services may incorporate third-party software, plugins, or components subject to their respective licenses. You are responsible for complying with such third-party licenses.

6. Warranties and Disclaimers

6.1 Our Warranties

We warrant that:

• Services will be performed in a professional and workmanlike manner
• We have the right and authority to enter into these Terms and provide the Services
• Services will substantially conform to the specifications in your service agreement

6.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Services will meet all of your specific requirements
• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Services will be accurate or reliable
• Any errors in the Services will be corrected

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OASIS AUTO KONNECT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless Oasis Auto Konnect LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your Client Materials or any content you provide

9. Confidentiality

9.1 Definition

"Confidential Information" means any proprietary or confidential information disclosed by either party, including but not limited to business plans, technical data, customer information, financial information, and any information marked as confidential.

9.2 Obligations

Both parties agree to:

• Maintain the confidentiality of all Confidential Information
• Not disclose Confidential Information to third parties without prior written consent
• Use Confidential Information solely for the purpose of performing obligations under these Terms
• Take reasonable measures to protect Confidential Information

9.3 Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no breach of these Terms
• Was rightfully known prior to disclosure
• Is independently developed without use of Confidential Information
• Is required to be disclosed by law or court order

10. Term and Termination

10.1 Term

These Terms commence when you first access or use the Services and continue until terminated in accordance with this section.

10.2 Termination by Client

You may terminate your service agreement by providing written notice as specified in your agreement. You will be responsible for payment of all services performed up to the termination date.

10.3 Termination by Company

We may terminate or suspend your access to Services immediately, without prior notice, if:

• You breach any provision of these Terms
• You fail to pay fees when due
• Your use of Services poses a security or legal risk
• You engage in fraudulent or illegal activities

10.4 Effect of Termination

Upon termination:

• Your right to use the Services will immediately cease
• You must pay all outstanding fees and charges
• We may delete or disable your account and data
• Provisions that by their nature should survive termination will continue to apply

11. Data Protection and Privacy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

12. Third-Party Services and Links

Our Services may contain links to third-party websites, services, or resources. We are not responsible for the availability, content, privacy policies, or practices of such third-party services. Your interactions with third-party services are solely between you and the third party.

13. Dispute Resolution

13.1 Informal Resolution

In the event of any dispute, claim, or controversy arising from or relating to these Terms or the Services, the parties agree to first attempt to resolve the matter through good faith negotiations.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.

13.3 Venue

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Michigan, and the parties hereby consent to personal jurisdiction and venue therein.

14. General Provisions

14.1 Entire Agreement

These Terms, together with any service agreements, proposals, and our Privacy Policy, constitute the entire agreement between you and Oasis Auto Konnect LLC regarding the Services and supersede all prior agreements and understandings.

14.2 Amendments

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.4 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or governmental actions.

14.7 Independent Contractors

The parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, or employment relationship between the parties.
